International Users and Choice of Law

• Payments via Cheque, Money Order, Wire Transfer, or PayPal should be made payable to “F3clicks, Ahmedabad.” Upon acceptance of our proposal and receipt of necessary information and professional fees, we will promptly initiate the project.

• F3clicks shall not be liable to the Client or any third party for any consequential damages arising from the operation or inability to operate the application.

• If collection becomes necessary, the Client agrees to cover legal fees and late payment penalties, with interest at 1.5% per month on the outstanding amount.

• All applicable taxes will be levied as per actual.

• During and for 24 months after service provision by F3clicks, neither party shall solicit or induce the other’s employees without written approval.

• Assignment of this Agreement or any rights herein requires mutual consent, except where F3clicks may assign to a successor or subcontract to wholly-owned subsidiaries or third-party providers.

• Client warrants ownership or permissions for all content provided, indemnifying F3clicks against any claims.

• F3clicks retains copyright until final payment, after which ownership transfers to the Client.

• Disputes shall be litigated in Ahmedabad, India.

• This Proposal constitutes the sole agreement between F3clicks and Client.

• Additional work requires separate estimation or amendment to this Proposal.

• Client-provided images and content are preferred; F3clicks may use assumed images if not provided, with Client responsibility post-delivery.

• Client must provide a TDS certificate if applicable.

• If Client terminates during website development, the initial advance is non-refundable.

• In legal proceedings, fees paid will not exceed those charged to the Client.

Website Development Project

• During the project briefing, it is the client’s responsibility to provide clear guidelines and specific details necessary for us to proceed effectively. In the absence of such details, we will proceed based on our understanding and provide a corresponding quote. Any discrepancies later identified may lead to additional costs to accommodate changes. Therefore, it is crucial to clarify all aspects of your website development to ensure accurate quoting.

• Once the proposal is finalized, any additional functionality or design changes will impact the proposal and may incur extra costs and revised delivery dates. All additional work beyond the estimates will be charged separately. F3clicks will not be responsible for delays caused by changes in the project brief under any circumstances.

• Any complexity related to specific deliverables should be communicated beforehand and included in the proposal for accurate costing. We operate in good faith and rely on clients to provide a comprehensive understanding of their expectations. F3clicks will not bear any consequences arising from unclear requirements or expectations.

• Content and related materials for the website must be provided within the first two weeks of project commencement. Delays beyond this timeframe may result in project delays and additional charges if deemed unreasonable.

• Clients should acknowledge that unforeseen circumstances, particularly concerning third-party software integration, may occasionally delay the development process. F3clicks will endeavor to complete the project within the proposed schedule and expects clients not to penalize genuine delays occurring within a reasonable timeframe.

• F3clicks assumes no responsibility for third-party products, software, or components used in website development, such as payment gateways or SSL certificates. Regular backups are strongly recommended to prevent disruptions.

• Our service packages are coordinated with third-party providers, and changes in their rules or policies may affect the services provided under these terms and conditions.

• Domain registration charges are not included unless stated otherwise in the proposal. Similarly, hosting charges are not included unless specified. F3clicks can arrange suitable hosting solutions upon request, with a separate quote subject to client approval.

• Upon delivery, we provide one month of free service, including training for the website. For e-commerce websites, data entry is complimentary for 20 to 55 products only.

• Clients opting for self-hosting should consult with us beforehand to ensure compatibility with the technology used for development. We require full access and hosting support for testing and deploying applications. F3clicks will not be liable for delays or errors caused by actions of the hosting company, whether direct or indirect.

• Access to our test servers and websites is restricted to F3clicks and not provided to clients or any third parties.

• Copyright of completed web designs, images, pages, code, and source files created by F3clicks for the project will transfer to the client upon full payment, as agreed in writing. Without such agreement, ownership of designs and code remains with F3clicks.

Dedicated Resource(s)

• Clients are allocated dedicated resources, including a developer/designer and necessary support staff like a Team Leader or Project Manager upon request, based on the commissioned service.

• The developer/designer works on a dedicated basis, ensuring they have tasks at all times to avoid delays, which can extend the project timeline.

• Clients agree not to engage with current or former F3clicks employees on a personal basis. Violations will lead to legal proceedings. All F3clicks employees are bound by confidentiality clauses and non-disclosure agreements.

• Resources operate from F3clicks’ Ahmedabad office, which runs Monday to Friday, 09:30 AM to 06:30 PM (GMT +5:30 / BST +4:30). Public holidays are communicated in advance and compensated by working extra hours or on weekends as agreed with the client.

• A man-month is defined as 160 hours of work per month, with dedicated developers working 40 hours per week. This includes design, programming, testing, and awaiting client feedback.

• Both parties will disclose confidential information only to employees on a “need-to-know” basis, ensuring confidentiality obligations are observed by all relevant employees.

• Services/contracts can be terminated in writing with a notice period of 3 months for large projects and 1 month for small to medium-sized projects. For ongoing time and materials projects, a minimum notice period of 1 week is required. F3clicks reserves the right to define the project type. Third-party services may need additional time.

• Clients must provide all relevant information, content, pictures, previous code, etc., to make the project viable. In the absence of such materials, F3clicks will use freeware/shareware as deemed fit. F3clicks assumes the client has handled legal and copyright implications of using specific materials.

• Clients must provide necessary information, materials, or feedback within 24 hours when requested. Delays may lead to reallocation of resources to other projects, impacting the project timeline.

• After the final payment, clients own specific instances of all produced code but not the algorithms, techniques, methods, or trade secrets used by F3clicks.

• If clients do not provide requested materials, information, decisions, or approvals within thirty days, F3clicks will deem the work completed, and all payments will be due.

• Work on existing sites is done without guarantees on code integrity. F3clicks will research and develop the existing code but does not guarantee its suitability.

• Development work typically occurs on an off-site Sandbox environment. If requested to work on live servers, F3clicks is not responsible for any impacts. The use of a Sandbox server is strongly recommended.

• Payments for time worked are non-refundable if the work is canceled before completion.

• If logged man-hours exceed the defined hours by more than 15%, F3clicks management reserves the right to charge for the additional hours.

Hosting Service

• Hosting is an annual fee that must be paid in advance for the entire year. It is the client’s responsibility to renew hosting before the expiry date to avoid potential loss of files, data, emails, and backups.

• All unpaid hosting accounts are either disabled or deleted from the server. Renewals must be settled at least seven working days before the expiry date, and F3clicks will not be accountable for issues arising from delayed payments.

• Our hosting services are provided on both shared and non-shared servers through third-party providers in Ahmedabad. F3clicks endeavors to safeguard our systems and servers against hackers, viruses, and other threats, though we cannot be held responsible for service disruptions caused by such events.

• Clients are solely responsible for the content stored on and served by their purchased hosting service, as well as the functionality of any scripts or email services under that service. It is imperative that clients maintain the security of all account passwords and ensure that scripts are free from malicious content that could harm the server or other hosted accounts.

• In the event of a malware attack, F3clicks reserves the right to remove files from the hosting service without prior notice to mitigate potential risks.

Cancellation/Termination

• Hosting cancellation requests must be submitted in writing or via email at least one month before the expiration date.

• Once hosting is renewed, it cannot be cancelled and the full year’s payment is required.

• Failure to renew hosting before expiry may result in the suspension of hosting, including emails and DNS records. Additional charges may apply to reinstate hosting.

• F3clicks is not liable for any loss of data, files, emails, backups, or restoration costs if hosting is not renewed or is cancelled/disabled.

• If hosting is cancelled or disabled, all files, emails, databases, and backups will be deleted from the server without prior client notification.

• After settling all invoices, clients must request files directly.

Emails

• All emails are automatically downloaded to the client’s computer on a regular basis. It is essential to manage email boxes within their allocated storage limits. Routine maintenance includes deleting emails older than six months.

• Clients are expected to adhere to guidelines prohibiting inappropriate content and unwanted emails that could lead to server spamming or infection. Immediate action will be taken under such circumstances, including the deletion of relevant files and data without prior notice.

• F3clicks offers service packages in collaboration with third-party providers. Any changes in the rules or policies of these providers may impact the terms and conditions of our services.

• Hosting services are provided on shared and non-shared servers through third-party providers based in Ahmedabad. F3clicks endeavors to protect our systems from online and offline threats like hackers and viruses. However, we cannot be held responsible for service disruptions in such events.

Domain

• All domain registrations and renewals require advance payment to avoid service disruption and potential loss of domain ownership.

• F3clicks will not bear responsibility for domain expiration resulting from non-payment or late payment of charges. Payments must be settled seven working days prior to the expiry date.

• It is the client’s responsibility to ensure timely renewal of their domain names through F3clicks.

• F3clicks manages domains in a shared pool account and therefore cannot grant access to its domain control panel.

• All invoices and dues must be settled in full before F3clicks releases the requested domain name.

• Our packages are offered in collaboration with third-party providers. Changes to their rules and policies may impact the services provided by F3clicks or the terms and conditions herein.

Maintenance Plan

• All maintenance packages require a minimum commitment of 3 months.

• Maintenance fees are billed quarterly, with payments due on the 1st day of each billing quarter.

• Our packages focus on minor website maintenance tasks exclusively; larger projects or updates are not included.

• Each package includes one support request per month, capped at 20 man-hours. Unused hours do not carry over to the next month but can be utilized monthly for WordPress and Plugins updates.

• F3clicks operates under a fair use policy, acknowledging that client needs may vary. While unused hours do not formally roll over, we accommodate changes in requirements in good faith.

• Additional hours beyond the allocated monthly support will be billed separately at a rate of $15 per hour.

• Support requests should be submitted via email to support@f3clicks.com.

• Urgent tasks not covered under the regular support request will incur separate charges.

• Packages automatically renew every quarter, and invoices are generated accordingly.

Payment terms

• Monthly maintenance package fees must be paid exclusively via credit card. No other payment methods will be accepted.

• Fees for the monthly maintenance package will be automatically billed to the client’s credit card on the 1st day of each month.

• A $25 administrative fee will be applied to the client’s account for any late payments or declined credit card charges.

• Failure to make payment on more than three occasions within a year may result in termination of the package. In such cases, the client must immediately settle the remaining balance.

• All fees related to the monthly maintenance package are non-refundable.

Termination

• For canceling the auto annual renewal, please notify us in writing at least one month before the renewal date.

• If the Client chooses to terminate an ongoing maintenance package for any reason, they must settle the remaining balance for the remaining months.

• F3clicks reserves the right to terminate annual maintenance with written notice to the Client at any time.
